TO ENTER: Complete and submit an online entry available at www.sears.com between 12:01 AM EDT on 8/28/09 and 11:59:59 EDT on 9/10/09.  Entrants will be required to complete and submit their complete name, mailing address, a valid email address, telephone number and date of birth. Limit one (1) entry per day. Sponsor is not responsible for any lost, late, delayed, illegible, incomplete, or misdirected entries. Incomplete, unreadable, inaccurate, unintelligible, or late entries or entries which otherwise do not comply with these Official Rules will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned. Subject to all federal, state, and local laws and regulations. Void outside the 50 United States and the District of Columbia and where prohibited.

ELIGIBILITY: Sweepstakes open only to legal residents of the 50 United States and the District of Columbia who are aged 18 or older who have reached the age of majority in the jurisdiction within which they reside at the time of entry. Employees, officers, directors and agents of Sears Roebuck & Co, (hereinafter, “Sponsor”), Centra Marketing & Communications LLC (hereinafter, “Administrator”), Sears Holding Management Corporation, and each of their respective affiliates, advertising/promotion agencies, and the immediate family members (spouses, parents, children, siblings and their spouses) or household members (collectively, “Related Entities”) of each are not eligible to enter this Sweepstakes or win a prize. Entrants must have Internet access as of 8/27/09. Internet access if also available free at many public libraries throughout the United States. In the event of a dispute as to the identity or eligibility of the winner based on an e-mail address, the winning entry will be declared made by the “Authorized Account Holder” of the e-mail address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is 18 years of age or older  and who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

SELECTION OF PRIZE WINNER: One (1) Grand Prize Winner will be selected in a random drawing from among all eligible entries received. The random drawing will be conducted on or about 9/30/09 by Centra Marketing & Communications, an independent judging organization whose decisions are final and binding.  Odds of winning a Prize depend on the number of eligible entries received.  Selected Prize Winners will be notified by overnight mail delivery and/or e-mail on or about 10/9/09. If the Prize notification is returned as undeliverable or the Prize cannot be awarded to selected Prize Winner for any reason, that Prize may be forfeited and awarded to an alternate winner in a random drawing from among the remaining eligible entries received. The Grand Prize will be awarded provided it is properly claimed.

ONE (1) GRAND PRIZE: Grand Prize consists of (i) one (1) Sony BRAVIA® 52 in. (Diagonal) Class 1080p 120 Hz LCD HD Television (#05771689000), (ii) one (1) Sony 5.1 Channel BRAVIA® Home Theater System with S-AIR™ Wireless, 1000W (#05798209000), (iii) one (1) Sony Blu-ray Disc™ Player (#05757438000), (iv) one (1) Television Mounting and Installation (#09110308000), (v) one (1) LevelMount Cantilever Mount (#05799642000) and (vi) three (3) Sony 9.8 ft. (3m) HDMI Cables (#05797204000). The total approximate retail value (“ARV”) of the Grand Prize: $4,040. Prize is subject to all terms and conditions of the Sweepstakes and all applicable federal and state laws. Grand Prize is non-transferable. No substitutions or cash redemptions, except, by Sponsor in its sole discretion, in which case a prize of equal or greater retail value will be awarded. Potential Grand Prize Winner will be required to execute and return an Affidavit of Eligibility and Liability and Publicity Release within fourteen (14) days of notification attempt or the prize may be forfeited and an alternate winner may be selected. In the event that a minor (under applicable state law) wins the Prize, it will be awarded in the name of a parent or legal guardian who must sign and return all required documentation. Sponsor reserves the right to award the prize to the parent or legal guardian of a winner who is a minor under applicable state law as determined in Sponsor’s sole discretion. Grand Prize Winner will be required to supply Administrator with his/her social security number for tax purposes. Grand Prize Winner will be solely responsible for all applicable federal, state and local taxes on prize. Sponsor is solely responsible for providing all prize items to Grand Prize Winner.  The values of the Grand set forth above represents the Sponsor’s good faith determination of the approximate retail value thereof and the actual fair market values, as ultimately determined by Sponsor, cannot be challenged or appealed by the Prize Winner. In the event the stated approximate retail value of the Prize is more than the actual retail value of the Prize, the difference will not be awarded in cash.

GENERAL: By entering this Sweepstakes, entrants and Prize Winner: (1) agree to be bound by  these Official Rules; (2) agree to release Sponsor, Administrator and the Related Entities from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death arising out of participating in this Sweepstakes, or the acceptance, possession, use or misuse of any prize and claims based on publicity rights, defamation or invasion of privacy and merchandise delivery; and (3) consent to the use of his/her name, voice, picture, likeness and geographic location for advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law, and (4) acknowledged that the stated parties have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any Prize, including but not limited to its quality, mechanical condition, or fitness for a particular purpose or suitability for use and, further, accepts no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority. Sponsor may discontinue this Sweepstakes at any time. Sponsor may terminate the Sweepstakes or decide to modify it in any manner that it deems fair and equitable to participants if it becomes aware of any occurrence that would materially affect the Sweepstakes’ security and fairness.  Sponsor may prohibit individuals from participating in the Sweepstakes and disqualify entries if they (1) attempt to enter the Sweepstakes through any means other than as described in these Official Rules, (2) attempt to disrupt the Sweepstakes or circumvent the terms and conditions of these Official Rules in any way or (3) repeatedly show a disregard for the Sweepstakes Official Rules or act (a) in an unsportsmanlike manner, or (b) with an intent to annoy, abuse, threaten or harass any other entrant, Sponsor or Administrator. Sponsor’s decisions with respect to the Sweepstakes are final. No more than the stated number of prizes will be awarded. In the event the number of prize claims exceeds the number of prizes offered, such prizes will be awarded in a random drawing from all such purported claims received for that prize. An entrant is not a winner of any Prize, unless and until the entrant’s eligibility and the potential winning claim has been verified. Sponsor, Administrator and Related Entities reserve the right to correct typographic, clerical or printing errors in any Sweepstakes materials. Sponsor, Administrator and Related Entities are not responsible for any typographical or other error in the printing of this Sweepstakes, the administration of the Sweepstakes or in the announcement of prizes, including such error as may give an erroneous indication that a prize has been won. In the event the Sponsor, Administrator or Related Entities are prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute, or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state , provincial or local government law, order of regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s, Administrator’s or Related Entities’ control (each a “Force Majeure” event)  the Sponsor, Administrator and Related Entities shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Sponsor, Administrator or Related Entities, in their discretion, elect to abbreviate, cancel or terminate the Sweepstakes as a result of a Force Majeure event, the Sponsor, Administrator and Related Entities reserve the right, but shall have no obligation, to award the prize from among all valid and eligible entries received up to the time of such Force Majeure event.

INTERNET If for any reason this Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes, at which time, Sponsor will conduct a random drawing from among all eligible entries received at the time of the Sweepstakes termination. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes.  SPONSOR IS NOT RESPONSIBLE FOR INCOMPATIBILITY OF ENTRANT’S HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY WITH SPONSOR’S HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHERREMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Notwithstanding the foregoing, Sponsor may share the name and contact information of Potential Prize Winner with Administrator for prize verification, receipt and other purposes relating to the Sweepstakes.
